Joint Venture Program Guidelines

Overview

These Joint Venture Program Guidelines ("Guidelines") supplement the ClickBank Client Contract ("Client Contract") you are entering into with Click Sales, Inc. ("ClickBank"). BY CHECKING THE BOX STATING THAT YOU HAVE READ AND AGREE TO THE TERMS AND CONDITIONS OF THE CLIENT CONTRACT AS PART OF YOUR REGISTRATION WITH CLICKBANK, YOU AGREE AND CONSENT TO BE BOUND BY THE TERMS AND CONDITIONS OF THESE GUIDELINES.

These Guidelines contain the terms and conditions that apply to your participation in the Joint Venture program ("JV Program") via the ClickBank Services. Capitalized terms used but not defined in these Guidelines shall have the same meanings ascribed to them in the Client Contract.

Description of the JV Program

ClickBank Joint Venture is designed to simplify a range of business problems encountered while managing partner relationships. Sellers may elect to split transaction revenues with up to five other parties. Sellers may also elect to share a portion of the transaction to a third party who initiated an upsell. Affiliates may elect to split commissions from one or more sellers to any third party. ClickBank Joint Venture manages the transaction, revenue settlement, refund and chargeback processing between parties for each applicable transaction. Terms and Conditions 

1. You acknowledge and agree that participation in the JV Program is voluntary and is at your own risk. Accordingly, you are responsible for investigating any third parties with whom you choose to enter a relationship via the JV Program (collectively, "JV Partners"). If you choose to enter into a contractual relationship with a JV Partner, the parties to such contract will be you and the JV Partner only, and ClickBank will not be a party to any such contracts and disclaims any and all liability in this regard.
2. You acknowledge and agree that any claims brought by a third party based upon your participation in the JV Program will be subject to the indemnification provisions described in the Client Contract.
3. You acknowledge that transactions where an affiliate receives a fixed dollar commission, also referred to as cost per action [CPA] are not eligible to be split for Traditional JV Contracts or Affiliate Referral Contracts within the JV Program.
4. By participating in the JV Program, you authorize ClickBank, on your behalf and as your agent, to make any payments you owe to JV Partners via the ClickBank Services, as contemplated in your agreements with such JV Partners, as appropriate. YOU ACKNOWLEDGE AND AGREE THAT WHEN CLICKBANK MAKES PAYMENTS TO JV PARTNERS ON YOUR BEHALF, CLICKBANK IS ACTING AS YOUR AGENT AND NOT ON ITS OWN, AND NOT AS THE AGENT OF, OR ON BEHALF OF, ANY THIRD PARTY.
